This letter sets out the basis on which UNITY PARTNERS MANAGEMENT will undertake this matter on behalf “Client”, the client together with some further information.
- Scope of Services
Our services in this matter would entail the following (“Scope of Services”):
The specific services, quantities, and pricing shall be as detailed in the official quotation, invoice, or proposal provided by Unity Partners and accepted by the Client. Any additional services outside this scope will require separate approval and may incur additional fees.
- Fees and Payment Terms
2.1 Fee Structure
All fees shall be clearly communicated to the Client through a formal quotation, invoice, or proposal. Unless explicitly stated otherwise in writing, the quoted fees apply solely to the services and scope outlined in the provided documents.2.2 Service Commencement Conditions
The service process shall commence only upon receipt of payment in accordance with the agreed payment terms and after all required documents have been submitted in full by the Client.
2.3 Government-Related Fee Changes
All government fees are quoted based on the rates available at the time of engagement. As these fees are determined by government authorities, they may be subject to change. In the event of any increase, the Client will be responsible for covering only the difference from the originally quoted amount. Unity Partners will inform the Client of any updates as soon as such changes are officially confirmed.
- Timelines and Government Dependencies
3.1. Timelines provided are based on our previous experience and are intended to serve as general guidance. Actual processing times may vary due to several factors, including but not limited to:
a. Internal processing times of UAE government authorities
b. Public holidays, Ramadan, or other periods of official closure
c. The Client’s prompt submission of all requested documents in a complete and accurate form3.2. Unity Partners will proactively manage each case and make every effort to minimize delays. In the event of unforeseen disruptions—such as third-party delays, force majeure, or changes in regulations—clients will be informed promptly with updated expectations and next steps.
3.3. Service timelines commence only after full payment is received and all documents are submitted correctly.
3.4. Visa issuance is solely at the discretion of the relevant government authority. Unity Partners does not guarantee approval or processing timelines and shall not be liable for any rejections or delays resulting from authority decisions or criteria.
- Refund Policy
4.1 Definitions
a. Service Fees refer to all charges imposed by the Company for its professional, processing, consulting, and administrative services.
b. Government Fees refer to amounts paid to government authorities or entities for services including but not limited to entry permits, visa applications, license issuance, medical testing, Emirates ID processing, and other official charges. These fees are considered non-refundable once submitted or utilized on the client’s behalf.4.2 Refunds may be considered under the following conditions:
a. In cases where a payment error or duplicate transaction has occurred and has been verified by Unity Partners
4.3 Further Reference
All refund requests and eligibility assessments shall be governed by the Company’s official Refund Policy Terms and Conditions, which form an integral part of this Agreement and are available upon request.
- Client Responsibilities and Warranties
The Client shall:
b. Provide all documentation and information in full, accurate, and timely form
c. Be solely responsible for any consequences arising from the provision of false or misleading documentation
d. Adhere to all applicable UAE laws and regulations, including any post-licensing obligations and compliance requirements as prescribed by the relevant government authorities
e. Be responsible for staying informed of legal and regulatory requirements applicable to their business
- Limitation of Liability
6.1. Unity Partners shall not be liable for:
a. Delays or decisions made by external entities, including Free Zones, Immigration, Banks, or Ministries
b. Losses arising from indirect, incidental, or consequential damages, including but not limited to, loss of business, profit, opportunity, or goodwill
c. Any failure caused by changes in law, regulation, or government procedure
6.2. Unity Partners’ total liability shall be limited to the actual service fees paid by the Client for the specific matter in question.
- Termination of Services
This Agreement may be terminated by either party with written notice prior to the commencement of services. Unity Partners may also terminate the Agreement with immediate effect in the event of non-payment, non-cooperation, or any breach of applicable UAE laws. Any work completed up to the point of termination will be invoiced accordingly.
- Confidentiality
All Client information shall be treated as confidential and used solely for the purpose of executing the services outlined in this Agreement. Unity Partners and its sister companies shall not disclose any confidential information to third parties without written consent, except when required by law or when sharing such information with government authorities as part of the application or processing requirements.
- Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws and regulations of the United Arab Emirates, as applicable in the Emirate of Dubai. Disputes arising in relation to this Agreement shall be subject to the exclusive jurisdiction of the Dubai Courts.
- Miscellaneous
10.1 The Client expressly authorizes Unity Partners to act as their appointed representative for purposes of performing transactions through government and Free Zone portals on their behalf, including but not limited to incorporation, visa applications, amendments, and cancellations. The Client consents to Unity Partners’ secure access and use of such portals to complete the agreed services.
10.2. Any No Objection Certificate (NOC) issued by Unity Partners to the Client shall be subject to an administrative fee of AED 5,000, payable in advance. The issuance of any NOC remains at the sole discretion of Unity Partners and may be granted only after all outstanding obligations have been fulfilled by the Client.
10.3 Any notices or formal communication required under this Agreement must be made in writing to the official email or office address of the parties.
10.4 If any clause in this Agreement is deemed unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
- Acknowledgement and Acceptance
By proceeding with payment or confirming acceptance of the estimate or invoice referencing this Letter of Engagement, the Client acknowledges that they have read, understood, and agreed to all the terms and conditions outlined herein. This digital version of the Agreement shall be deemed legally binding without the need for physical signatures.
